Terms and Conditions


- PAPERVEE USAGE AGREEMENT -

I. This agreement is entered into between the following parties:

1. PIXELSOL S.R.L., with its registered office in SIBIU, 3 SĂLCIILOR Street, registered at the Trade Registry Office attached to the Sibiu Court under no., J32/1694/2017, VAT ID 38487613, email office@papervee.com, the operator of the Papervee platform, as the Service Provider, and:

2. the Beneficiary (customer), with identification data as indicated on the platform. https://papervee.com/.

The parties have agreed to the following:

  • This agreement represents the contract proposed by PIXELSOL S.R.L., a contract to be accepted before registering on the website, https://papervee.com/;
  • It represents an acceptance by the Beneficiary of the offer presented by PIXELSOL S.R.L., under the conditions stipulated in Article 9 of the Electronic Commerce Law 365/2002. Any order confirmed by the Beneficiary, by checking the box - I have read and accepted the terms and conditions of use of https://papervee.com/;
  • Furthermore, checking the boxes mentioned above also signifies an electronic signature, within the meaning of Article 4, paragraph 3, of Law no. 455/2001 on electronic signatures, having the same value as a holographic signature.

Definitions:

Papervee.com - represents the website of the company PIXELSOL S.R.L., as well as all the services offered on this site or its subdomains, if applicable.

Services – the totality of services offered by PIXELSOL S.R.L., made available to beneficiaries through the website https://papervee.com/, referring to the HR application and its related modules, an application that aims to manage and administer the recruitment process and labor relations within a legal entity or other forms of individual organization, data synchronization regarding the company's employees, providing the necessary assistance for these services, providing data backup services for them, services provided in the form of a monthly or annual subscription, at the beneficiary's choice.

Provider - the one who ensures the provision of services and products provided on the website, namely: papervee.com

Account - a section related to the website, consisting of an email address and password through which the Beneficiary can use the platform and its related modules. The user is the one who commits to provide complete information when creating the account, to be updated as often as necessary;

Order – the order placed by the beneficiary regarding the application/services offered and displayed on the website https://papervee.com/;

Visitor – an individual who accesses the website https://papervee.com/, without having purchased the application/services offered and without placing an order for them;

Contract - represents the meeting of minds between two parties concluded at a distance between the Provider and Beneficiary, without their simultaneous physical presence.


II. Object of the Service Agreement

1. The object of the contract consists of the provision by PIXELSOL S.R.L. for the Beneficiary of services that consist of providing an HR application and its related modules, an application that aims to ensure the proper management and administration of the employee recruitment process, as well as labor relations within a legal entity or other forms of individual organization, data synchronization regarding the company's employees, providing the necessary assistance for these services, providing data backup services for them, services provided in the form of a monthly or annual subscription, at the beneficiary's choice.

2. The Service Agreement takes effect following the placement of orders and the opening of accounts on the https://papervee.com/. Beneficiary of the application and the services offered by our platform agrees to acknowledge these terms and conditions before placing an order or opening an account. By placing the order and opening the account, the Beneficiary accepts all the conditions stipulated in this contract. Acceptance is made by checking the box, 'I agree to the terms and conditions - site usage agreement.'

3. The Provider has the right to modify the terms and conditions of the contract, but the version at the time of placing the order on the https://papervee.com/.

4. The services offered through our platform can be accessed through various interfaces, including: any device with internet access and a web browser (e.g., a laptop with Windows, Apple, Linux operating systems, mobile devices, and tablets with Android, iOS, or others.)

III. Contract Period

1. The contract is concluded for an indefinite period and comes into legal effect from the date of creating the account.

2. Once the payment for the chosen subscription type is confirmed, the Beneficiary will have access to all services included in the subscription package. The order can be canceled until the payment is made. In the event of errors regarding the placed order, these can be rectified until the payment is confirmed by the Provider through an email sent to support@papervee.com.

3. In case the Beneficiary wishes to change the chosen subscription type, they will inform the Provider of this circumstance. If the desire is to upgrade to a larger package, the price difference will be paid. If the desire is to purchase a smaller package, this will be possible after the expiration of the current subscription period for which the Beneficiary has already paid, and a new payment for the smaller subscription will be made. The changes will take effect upon confirmation of payment by the Provider.

IV. Product/Service Pricing. Invoicing and Payment Methods. Refund of Payments

1. PIXELSOL S.R.L. will determine the monthly or annual price for using the Papervee application and its related modules, depending on the customer's needs, the selected modules, and the period for which the purchased service is paid. The selected subscription price will also include periodic updates made to the application. Our team provides the necessary technical support throughout the contract duration. 2. Depending on the chosen options, the Beneficiary will pay the Provider a monthly subscription fee, an amount that will be mentioned at the time of completing the online order. When the payment for the chosen services is made, the Beneficiary accepts the price offered by PIXELSOL S.R.L. Depending on the chosen subscription type, the company will send payment notifications to the Beneficiary, who will make the payment through automated payments using the payment method entered on the platform.

3. Our company accepts the following payment methods for the purchased services/products: bank transfer in advance or online card payment. If you choose online card payment, your card details will be processed through Stripe Inc., but our company will not store any card-related data. If you opt for payment by card, the banking institution, following its internal policies, will validate and authorize the payment.

4. The Beneficiary has the right to cancel the application within 30 calendar days from the payment date, with the option to request a refund of the paid subscription if the application does not meet the customer's needs. To exercise this right, please send us a refund request to legal@papervee.com, In this situation, we will refund the money to the bank account registered on papervee.com within a maximum of 10 days. In the event of a refund request, the Customer undertakes not to disclose information related to the content of PIXELSOL S.R.L.'s platform, not to partially or completely reproduce the site, not to copy, distribute, or exploit the site in any other manner contrary to the interests of PIXELSOL S.R.L.

V. Service Accessibility and Usage of the Offered Application and Modules

1. The offer from PIXELSOL SRL regarding its services, subscriptions, and their prices is the one displayed on the https://papervee.com/, website, and it remains valid as long as it is displayed on this site. In the event of changes to the offer, these will apply to contracts concluded after the modifications. The Provider will fulfill its obligations towards the Beneficiary immediately after the confirmation of the chosen subscription payment.

2. The Beneficiary is responsible for the information provided when registering the account and agrees to update this information in the event of any changes. If access to the email address mentioned in the user account cannot be obtained due to incorrect information provided, PIXELSOL SRL will not be responsible for any potential damages or losses of any kind.

3. PIXELSOL S.R.L will ensure access to the application and its related modules until the contract ends by one of the methods outlined below. As mentioned in the service package provided, this includes both legislative updates and the technical support necessary for the service to function.

4. We will strive to provide our customers with continuous accessibility to the services provided. However, considering that the availability of these services depends on internet access, there may be possible technical and system limitations. We will make prior notifications to the customer in the event the website requires maintenance, which is the responsibility of the subscriber.

5. Through this contract and the license agreement provided, the Provider will grant the Beneficiary a non-exclusive license to use the application, modules, or other goods and services only after registering on the https://papervee.com/. website. The Beneficiary is hereby informed that this program cannot be the subject of transfer, sale, assignment, or sublicensing, in any form, to a third party without the prior written consent of the Provider.

VI. Rights and Obligations of the Parties

1. The Service Provider undertakes to provide the Beneficiary with unrestricted access to the platform made available through the website https://papervee.com/, including, but not limited to, the creation, customization, administration, and management of documents issued within the program. Additionally, in the event of any issues related to the functionality of the applications, technical assistance is provided to the Beneficiary, from Monday to Friday, between 9:00 AM and 5:00 PM. The Service Provider will perform a weekly data backup and allows the user account to be accessed from any type of device, thus ensuring the synchronization of data from the user account. According to the provisions of Law 365/2002, the websitehttps://papervee.com/, operates as a 'host' for the content uploaded by the Beneficiary. Of course, some of the data stored in the user's account will also be stored on the Beneficiary's computers but will not be stored in the browser or the mobile application. The company will not be responsible for the loss of access passwords to the Beneficiary's account or for activities that may affect the Beneficiary's account inappropriately or appear illegal. The company reserves the right to block the account or suspend it in the event it receives notifications regarding inappropriate content or the unlawful appearance of the account. Through the platform, depending on the chosen options, the Beneficiary has the right to allow approved users to access the program, and thus, the Beneficiary is fully responsible for how they will operate all the content uploaded to the account and for the confidentiality of the data and systems of which they become aware. PIXELSOL S.R.L. does not provide, monitor, or exercise control over the Beneficiary's data and documents. Additionally, the company is not responsible for the accuracy of the data and information uploaded to the Beneficiary's account. The company has the right to collect anonymous data on the use of the services and products offered and make them public in accordance with the agreed conditions.

2. The Beneficiary is obliged to provide accurate and complete data and is responsible for all the content uploaded to their user account, so they will be held accountable for any violation of legal provisions or the rights of a third party. The Beneficiary undertakes to use the services and products accessed through the platform https://papervee.com/. The Beneficiary undertakes to comply with national and European legal provisions regarding the processing of personal data concerning the data they enter into the system and will also respect the provisions regulating copyright. The responsibility lies entirely with the Beneficiary for the creation, customization, administration, management, accuracy, and legality of the data issued through the modules of the platform https://papervee.com/. The Beneficiary is solely responsible for how they will process and store personal data, with an obligation to comply with the relevant legislation, and PIXELSOL SRL will not be held responsible in case of harm or violations of the rights of third parties. Depending on the chosen option, the Beneficiary has the right to add multiple users to the account, granting them access, in which case the Beneficiary is responsible for them as well. The Beneficiary expressly consents to the terms and conditions of the website displayed on https://papervee.com/.

VII. Personal Data Protection

1. This website processes personal data that either comes from you or is collected from other sources, processes that are exhaustively described in the Privacy Policy. Thus, we commit to complying with national and European provisions regarding the protection of personal data and the free movement of such data.

2. Depending on your activities on the website, including simple browsing, usage, placing orders, or requesting access to information, you declare that you agree to the processing of your personal data as provided in the Privacy Policy.

3. Furthermore, with regard to all personal data and information transmitted to us, you declare that they are up-to-date, complete, and accurate. In the event that you transmit data that do not concern you or do not belong to you, you declare that you have obtained the prior written consent of the data subject regarding their personal data that you are transmitting to us or that you indicate that the data is transmitted in accordance with EU Regulation 679/2016 on another legal basis.

4. On the website, you will also find our Cookie Policy, which states that we use cookies and other related technologies. This allows for the collection of information, such as IP address, browser, and more. For additional information, you can refer to our Cookie Policy

5. Additionally, please be aware that unauthorized access to non-public elements of the website or allowing access to other individuals, except those authorized to access the account provided by us, is prohibited. Otherwise, the offense of unauthorized access to a computer system is committed, and you will be held liable accordingly.

VIII. Contractual Liability

1. Each party is obligated to fulfill its contractual obligations as assumed. The Beneficiary bears full responsibility for the data transmitted and takes responsibility for how they use the website and the services provided by PIXELSOL S.R.L. The Beneficiary is also responsible for how users use the Beneficiary's account provided by them.

2. The Service Provider cannot be held responsible if the Beneficiary chooses to use the website for purposes contrary to its intended purpose, pursuing illegal and immoral goals.

3. In cases where the Beneficiary causes harm to the providing company through unlawful actions, they are liable for their actions.

4. If necessary, the Beneficiary's data may be transmitted to competent judicial authorities upon receipt of a justified request by the providing company. The Beneficiary agrees to such transmission.

5. PIXELSOL S.R.L. is not liable in any way for any material or moral damage caused to the Beneficiary due to the content, software, products, or services provided by the website, as well as for any damages resulting from the use or interruption of website usage, or the failure to provide information and services regularly, due to reasons beyond its control.

IX. Termination of the Contract

1. The contract may terminate in the following situations:

  • by mutual agreement of the parties;
  • due to the defective, delayed performance of contractual obligations assumed by the parties or non-performance thereof;
  • by unilateral termination of the contract by either party, communicated in writing to the other party at least 30 days before the date set for the termination of the collaboration;
  • in the event of legally declared insolvency, dissolution, liquidation, or bankruptcy.

X. Confidentiality

1. Both parties, the Service Provider, and the Beneficiary, undertake to maintain the confidentiality of Confidential Information, prevent its disclosure to third parties, and not use it for purposes other than those specified in this Contract, unless they obtain the prior written consent of the other party.

2. The party may become aware of Confidential Information through written communication by any means (paper, email, fax), visual or oral presentation, and it may be marked as confidential or not.

3. The following are not considered Confidential Information and the provisions of this agreement do not apply to them:

  • information that was publicly accessible or became publicly accessible;
  • information that the Service Provider obtained from a third party who had no obligation to maintain the confidentiality of that information before it was transmitted by the Beneficiary;
  • information that the party concerned was required to disclose under a legal obligation.

4. In the event that the Beneficiary discloses Confidential Information to unauthorized third parties, they shall be liable, and the Service Provider has the right to seek compensation for any resulting damages due to such disclosures.

XI. Force Majeure

1. In the event of a force majeure or fortuitous event, the Service Provider is not responsible for the partial or total non-performance of assumed obligations. Force majeure refers to an event independent of the will of the parties, unpredictable and insurmountable, occurring after the contract is concluded and preventing the parties from executing their obligations in whole or in part (for example, wars, embargoes, fires, floods, earthquakes, strikes, adverse weather conditions, epidemics, legislative changes, or acts and actions by hackers or internet service providers).

2. Within 10 days of the occurrence of the force majeure cause, the party invoking it is required to notify the other party. Furthermore, within 15 days of the cessation of the force majeure cause, the party must notify the other party of this circumstance. In the event that the contract cannot be executed for a period longer than 3 months due to these circumstances, each party has the right to unilaterally terminate the contract.

XII. Applicable Law and Competent Court

1. The law governing this contract, regarding its conclusion, modification, execution, and termination, is the current Romanian law.

2. Disputes arising from the execution of the Contract, if they cannot be resolved amicably, shall be settled by the competent common law courts, in accordance with the applicable legal provisions. Territorially, jurisdiction belongs to the court at the Service Provider's registered office.

XIII. Intellectual Property and Copyright

1. The content of the website https://papervee.com/ is the intellectual property of PIXELSOL S.R.L., including but not limited to the database with related modules, graphic elements, images, text, trademarks, symbols, audio/video clips, web design elements, scripts, programs, and more. The website is intended to be used by users only for the purpose for which it was created, namely for information, placing orders, and accessing the offered services and products.

2. Users of the website are prohibited from copying, distributing, publishing, modifying, reproducing, completing, using, displaying, including, transmitting, removing marks, photographs, images, text portions, selling, or using the website contrary to its intended purpose, to the detriment of the interests of PIXELSOL S.R.L., without the prior consent of the Beneficiary.

3. The use of any of the aforementioned elements without the prior consent of the Beneficiary will result in civil and/or criminal liability for the party at fault. The company thus has the right to seek full compensation for the damage caused and to hold the wrongdoer criminally responsible.

XIV. Right of Withdrawal

1. According to applicable legal provisions, specifically Article 9(1) of Government Emergency Ordinance No. 34/2014, the beneficiary has the right to withdraw from this distance contract without being required to justify the decision to withdraw, within 14 days from the date of concluding the contract, without incurring costs other than those provided for in Article 13(3) and Article 14 of the same ordinance.

2. Although the legal norm specifies a 14-day withdrawal period, we choose to offer the beneficiary a 30-day period for exercising this right, which runs from the date of contract conclusion, coinciding with the moment of payment confirmation for the selected subscription.

XV. Final Provisions

1. This contract has been concluded by the mutual consent of the parties and represents the official and legally probative instrument between the two companies.

2. The contract can only be amended by the mutual consent of the parties.

3. No contracting party has the right to transfer, assign, encumber, or alienate rights or obligations arising from this Contract without the written consent of the other contracting party.

4. The Beneficiary consents that any notification regarding this contract shall be transmitted through electronic mail to the email address indicated on the website. The Service Provider has the right to use other means of notifying the Beneficiary.

5. This document, the terms and conditions – papervee site usage agreement, must be interpreted in conjunction with the Privacy Policy found on the site and with the Cookie Policy.
